License Terms

Climakers Software License Agreement

This End User License Agreement (“Agreement”) is a legal agreement between you (“User”) and Climakers (“Licensor”) for the use of the ac2md software suite, including acp2md, acs2md, and licensegen (collectively, the “Software”).

By installing, copying, or otherwise using the Software, you agree to be bound by the terms of this Agreement. If you do not agree, do not install or use the Software.

1. License Grant

Subject to the terms of this Agreement and payment of the applicable license fee, the Licensor grants you a non-exclusive, non-transferable, revocable license to use the Software on machines covered by your license key.

2. License Key

A valid license key is required to use the Software
The license key is tied to the machine on which it is activated
You may not share, redistribute, or transfer your license key to third parties

3. Restrictions

You may not:

(a) copy, modify, or distribute the Software
(b) reverse engineer, decompile, or disassemble the Software
(c) sublicense, rent, lease, or lend the Software
(d) use the Software to develop competing products
(e) remove or alter any proprietary notices
(f) publish or make available the source code of the Software

4. Intellectual Property

The Software and all copies thereof are proprietary to and the property of the Licensor. All rights in the Software not expressly granted herein are reserved by the Licensor. The structure, organization, and source code of the Software are trade secrets and confidential information of the Licensor.

5. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT. THE LICENSOR DOES NOT WARRANT THAT THE SOFTWARE WILL MEET YOUR REQUIREMENTS OR THAT THE OPERATION OF THE SOFTWARE WILL BE UNINTERRUPTED OR ERROR-FREE.

6. Limitation of Liability

IN NO EVENT SHALL THE LICENSOR BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO THE USE OR INABILITY TO USE THE SOFTWARE, EVEN IF THE LICENSOR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THE LICENSOR’S TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE SOFTWARE LICENSE.

7. Termination

This license is effective until terminated
It will terminate automatically if you fail to comply with any term of this Agreement
Upon termination, you must destroy all copies of the Software in your possession

8. Governing Law

This Agreement shall be governed by and construed in accordance with applicable law, without regard to its conflict of law provisions.

9. Entire Agreement

This Agreement constitutes the entire agreement between you and the Licensor with respect to the Software and supersedes all prior agreements, representations, and understandings.

Third-Party Software Notices

The ac2md software suite incorporates the following open-source software components. Each component is subject to its own license terms as indicated below. These licenses apply only to the respective third-party components, not to the ac2md Software itself.
